Under Section 4(2) of the POSH Act, 2013, every Internal Committee must include one external member. This is not optional — an IC without a qualified external member is legally incomplete, and any inquiry it conducts is vulnerable to being challenged and set aside in court. What the Law Says

Section 4(2)(c) of the POSH Act requires the IC to include:

"One external member from amongst non-governmental organisations or associations committed to the cause of women or a person familiar with the issues relating to sexual harassment."

The external member must be from outside the organisation — they cannot be an employee, director, or contractor of the employer. Their role is to provide independence, prevent institutional bias, and ensure that the inquiry process is fair to both complainant and respondent.

The external member is not a formality. Their presence is a structural safeguard built into the law to protect against employers suppressing complaints or conducting biased inquiries.

Courts in India have repeatedly upheld complaints where the external member's absence or ineligibility made the IC constitution invalid. An IC constituted without a proper external member may be treated as non-existent — exposing the employer to full penalty under Section 26 of the Act.

Can a lawyer be the external member?+

Yes, if the person has legal knowledge or experience dealing with sexual harassment cases and is not employed by the organisation. FIO Foundation's team includes trained practitioners with both legal knowledge and NGO backgrounds.

Can the same external member continue after 3 years?+

The Act permits reappointment but requires a fresh written appointment order at the start of every new term. Failure to issue a fresh order means the member is technically unappointed — a procedural gap that can invalidate inquiries.

Does the external member need to attend every IC meeting?+

The external member must attend inquiry proceedings. For non-inquiry matters, availability varies by engagement terms. FIO Foundation provides clear terms of engagement at the outset.

Can a family member or friend of the employer be the external member?+

No. The spirit and letter of the law require the external member to be independent of the employer. An external member with a personal relationship to the employer or respondent is a conflict of interest that can vitiate an inquiry.
