What the Law Says — Exactly
Section 4(2)(c) of the POSH Act, 2013 requires the IC to include:
"one member from amongst non-governmental organisations or associations committed to the cause of women or a person familiar with the issues relating to sexual harassment"
This is the exact bare Act language. The external member must come from an NGO or association committed to the cause of women — or be a person familiar with sexual harassment issues.
The external member must be from outside the organisation — not an employee, director, contractor, vendor, or anyone connected to the employer in any way.

The external member is a structural safeguard built into the law. Their role is to prevent institutional bias — to ensure the IC does not suppress complaints or conduct inquiries under management pressure.
Courts have repeatedly upheld challenges where the external member was ineligible or absent. The Kerala High Court has confirmed that an improperly constituted IC can have its entire inquiry set aside — regardless of the merits of the case.
Common Errors Kerala Organisations Make
Appointing an ineligible external member:
A lawyer who advises the company on other matters — conflict of interest
A vendor or service provider of the organisation — not independent
A friend or associate of the management — not independent
A person with no connection to women's rights or sexual harassment issues
Letting the 3-year term expire without reconstitution: Section 4(3) limits each IC member's term to 3 years. After 3 years, a fresh written appointment order must be issued — even if the same external member continues. An expired term = legally unappointed = IC is incomplete.
Not issuing a formal written order: The external member must be named in a written appointment order from the employer. Verbal or informal arrangements are not valid.

Frequently Asked Questions
Can a lawyer serve as external IC member?
A lawyer who provides regular legal advice to the organisation would have a conflict of interest and should not serve as external member. A person with legal knowledge who is not connected to the organisation and has experience with sexual harassment issues may be eligible — but an NGO committed to women's cause is the clearest statutory fit.
Can the same external member continue for a second 3-year term?
Yes — the Act permits reappointment. However, a fresh written appointment order must be issued at the start of every new term. Without a fresh order, the member is technically unappointed after the first term expires.
Does every branch need a separate external member?
